Terms and conditions of business
1.1
All business undertaken between your company/organisation
and World Financial Jobs Limited and its global network sites, hereafter
referred to as WFJGN (World Financial Jobs Global Network) is subject to these
terms and conditions of business.
1.2
Any reference to âweâ or âusâ, âourâ or website are
references to the websites operated by WFJGN in co-operation with its Network
Partners (Website).
2.
Registration
2.1
The details provided by you on registration must be true,
complete and correct. You agree to notify us immediately of any changes which
are relevant to your registration by informing us by email on sales@WorldFinancialJobs.com
3.
Your information
3.1
We endeavour to comply with all applicable local data
protection legislation currently in force. This Agreement and all information
given by you to WFJGN during the course of, or in connection with, this
Agreement relating to the trade secrets, operations, processes, organisation,
business, transactions, dealing, affairs, accounts or finances of your company
(other than information which is in the public domain other than by breach of
this sub-clause) shall be treated at all times by WFJGN or its employees,
agents, representatives and sub-contractors, as confidential and shall not be
used other than for the purpose of fulfilling this Agreement nor disclosed to
third parties without your prior written consent.
3.2
Other than as required by law, we will not disclose your
registration details to any third party without your consent.
3.3
In order to maintain the integrity of WFJGN we reserve
the right to forward contact details to any regulatory authorities when
requested to do so including the police; we may also forward contact details
where a complaint arises concerning your use of WFJGN and where that use is
considered to be inconsistent with these terms and conditions.
3.4
We reserve the right to re-categorise the search location
of any job advertisement in the database if we, in our sole discretion, consider
it not to be located to maximum benefit. We also reserve the right to remove
temporarily or permanently any job advertisement which we, in our sole
discretion, consider to be of an unsatisfactory standard for whatever reason.
4.
Our obligation to you
4.1
We will use our reasonable endeavours to maintain WFJGN
in full operating condition and error free. We shall have no liability for any
failures in you accessing WFJGN caused by any software utilised by you when
inputting any job posting information.
4.2
If WFJGN is unavailable to you, through operating
difficulties on its part, for more than 7 working days then a pro-rata refund of
the monthly fee shall be made to you in the next monthly invoice.
4.3
WFJGN undertakes to make all reasonable efforts to ensure
a reasonable standard of integrity and reliability of the service.
5.
Your obligation to us
5.1
You agree that you will only use WFJGN in a manner that
is consistent with these terms and conditions and in such a way as to ensure
compliance with all applicable laws and regulations.
5.2
You agree that any and all job advertisements that you
post on the website relate to specific and genuine job opportunities that were
available at the time of posting.
5.3
You agree to take full responsibility for the use of
WFJGN made by you and accordingly you accept liability under these terms and
conditions for third party use of WFJGN which is in breach of these conditions.
5.4
We reserve the right to suspend the services offered to
you by WFJGN if we have reasonable cause to suspect that you are in any breach
of any of the terms of these conditions.
6.
Termination
6.1
On successful registration and acceptance as an WFJGN
user, you shall be entitled to use WFJGN subject to these conditions and any
specific conditions contained in the order confirmation, which will remain
effective until terminated in accordance with the following conditions.
6.2
Your right to continue to use WFJGN terminate immediately
on written notice if
6.2.1
you fail to comply with any of these conditions.
6.2.2
you become insolvent or bankrupt.
6.3
We may notify you by giving you one month's prior written
notice if we choose to cease to provide WFJGN for any reason.
6.4
Written notices as required by these conditions will be
sent by post to the relevant parties address as set out at the head of these
conditions or on the registration form, as appropriate.
6.5
You may terminate the terms of your contract upon 30 days
written notice.
6.6
Termination of agreements of 6 months' duration or more
require a minimum of 3 months' written notice
7.
Indemnity
You agree to be fully responsible for (and fully
indemnify us against) all claims, liability, damages, losses, costs and
expenses, including legal fees, suffered by us and arising out of any breach of
the Conditions by you or any other liabilities arising out of your use of the
Website, or the use by any other person accessing the Website using your
internet account.
8.
Intellectual property and right to use
8.1
You acknowledge and agree that all copyright, trademarks
and all other intellectual property rights in all material or content supplied
as part of the Website shall remain at all times vested in us or our licensors.
You are permitted to use this material only as expressly authorised by us or our
licensors.
8.2
You acknowledge and agree that the material and content
contained within the Website is made available for your personal non-commercial
use only and that you may download such material and content onto only one
computer hard drive for such purpose. Any other use of the material and content
of the Website is strictly prohibited. You agree not to (and agree not to assist
or facilitate any third party to) copy, reproduce, transmit, publish, display,
distribute, commercially exploit or create derivative works of such material and
content.
9.
Limitation of liability
9.1
WHILE WE WILL USE REASONABLE ENDEAVOURS TO VERIFY THE
ACCURACY OF ANY INFORMATION PLACED ON THE WEBSITE, WE MAKE NO WARRANTIES,
WHETHER EXPRESS OR IMPLIED IN RELATION TO ITS ACCURACY.
9.2
The Website is provided on an âas isâ and âas availableâ
basis without any representation or endorsement and we make no warranties of any
kind, whether express or implied, in relation to the Website, including but not
limited to, implied warranties of satisfactory quality, fitness for a particular
purpose, non-infringement, compatibility, security, accuracy, conditions of
completeness, or any implied warranty arising from course of dealing or usage or
trade.
9.3
Whilst we endeavour to ensure the quality of the WFJGN,
we make no warranties as to the truth or accuracy of job advertisements or
resumes posted by recruiters or job seekers, the ability of employers to offer
job opportunities to job seekers or the availability of job seekers to fill job
opportunities.
9.4
We make no warranty that the WFJGN will meet your
requirements or will be uninterrupted, timely, secure or error-free, that
defects will be corrected, or that the site or the server that makes it
available are free of viruses or bugs or represents the full functionality,
accuracy, reliability of the materials. We will not be responsible or liable to
you for any loss of content or material uploaded or transmitted through the
Website.
9.5
Notwithstanding any other provision in the Conditions,
nothing herein shall limit your rights as a consumer under local law.
9.6
You acknowledge that we cannot guarantee and therefore
shall not be in any way responsible for the security or privacy of the Website
and any information provided to or taken from the Website by you.
9.7
We will not be liable, in contract, tort (including,
without limitation, negligence), pre-contract or other representations (other
than fraudulent misrepresentations) or otherwise out of or in connection with
these Conditions for:
9.7.1
any economic losses (including without limitation loss of
revenues, profits, contracts, business or anticipated savings); or
9.7.2
any loss of goodwill or reputation; or
9.7.3
any physical, moral or financial harm that you may suffer
as a result of dealing with others with whom you come in contact through the
website.
9.7.4
any special or indirect or consequential losses; in any
case whether or not such losses were within the contemplation of either of us at
the date on which the event giving rise to the loss occurred, suffered or
incurred by one of us arising out of or in connection with the provisions of any
matter under these Conditions.
9.8
Nothing in the Conditions shall exclude or limit our
liability for death or personal injury resulting from our negligence or that of
our servants, agents or employees.
10.
Payment terms
10.1
All invoices are subject to VAT at the prevailing rate
and are payable within 30 days of receipt of invoice. Late payments will render
null and void our undertaking to provide this posting service.
10.2
We have the right to charge interest at the rate of 2.5%
per month above the base lending rate of the bank on all or part thereof on all
accounts remaining unpaid 30 days after the invoice date.
11.
Severance
If any part of the Conditions shall be deemed unlawful,
void or for any reason unenforceable, then that provision shall be deemed to be
severable from these Conditions and shall not effect the validity and
enforceability of any of the remaining provisions of the Conditions.
12.
No waiver by us shall be construed as a waiver of any
proceeding or succeeding breach of any provision.
13.
Survival
Each provision of these Conditions shall be construed as
separately applying and surviving even if for any reason one or other of those
provisions is held to be inapplicable or unenforceable in any circumstances.
14.
Entire Agreement
These Conditions (as amended from time to time) contain
the entire agreement between you and us relating to the subject matter covered
and supersedes any previous agreements, arrangements, undertakings or proposals,
written or oral, between you and us in relation to such matters. No oral
explanation or oral information given by either of us shall alter the
interpretation of these Conditions. You confirm that, in agreeing to accept
these Conditions, you have not relied on any representation save insofar as the
same has expressly been made a representation in these Conditions and you agree
that you shall have no remedy in respect of any misrepresentation which has not
become a term of these Conditions save that your agreement contained in this
Clause shall not apply in respect of any fraudulent misrepresentation whether or
not such has become a term of these Conditions.
15.
Law
The Conditions will be exclusively governed by and
construed in accordance with Irish law, Irish Courts will have exclusive
jurisdiction in any dispute, save that the firm has the right, at its sole
discretion, to commence and pursue proceedings in alternative jurisdictions.
16.
Applicable law and jurisdiction
Irish law shall govern these conditions and your use of
the WFJGN the parties hereby submit the exclusive jurisdiction of the Irish
Courts.
JOB SEEKER TERMS & CONDITIONS OF USE
These terms and conditions apply to your use of World
Financial Jobs Limited and its global network sites, hereafter referrd to as
WFJGN (World Financial Jobs Global Network). By accessing the WFJGN website, you
agree to be bound by these terms and conditions, if you do not agree to be bound
by these terms and conditions, you may not use or access the website and we have
the right to restrict or prevent your access to the website.

The Website is operated by WFJGN.
We will provide you with access to the Website in
accordance with these Conditions.
Definitions
âConditionsâ means these terms and conditions: âUser(s)â
means (a) user(s) of the Website either collectively or individually, as the
context requires; âPersonal Informationâ means any personal details provided by
you via the Website; âWe/us/ourâ means WFJGN; âWebsiteâ means the website
located at www.WorldFinancialJobs.com and Network Partner sites URLs or any
subsequent URLs which may replace them; âYou/yourâ means you as a user of the

any illegal purpose and agree to use it in accordance with all relevant laws;

of a computer b) material which is defamatory, offensive, or of an obscene or
menacing character, or that may cause annoyance, inconvenience or needless
anxiety, or is copyrighted (unless you are the copyright owner or have
permission of the copyright owner to post it), or reveals trade secrets (unless
you own them or have permission of the owner) or infringes on any other
intellectual property rights of others or on the privacy or publicity rights of
others.
1.1.3
will not use the Website a) in a way that may cause the
Website to be interrupted, damaged, rendered less efficient or such that the
effectiveness or functionality of the Website is in any way impaired, including,
without limitation, âoverloadingâ, âfloodingâ, âspammingâ, âmailbombingâ or
âcrashingâ, b) in any manner which violates or infringes the rights of any
person, firm or company (including, but not limited to, rights of intellectual
property, rights of confidentiality or rights of privacy);

will not a) send unsolicited e-mail, including promotions
and/or advertising of products or services. b) attempt any unauthorised access
to any part or component of the Website; and
1.1.5
agree that in the event that you have any right, claim or
action against any Users arising out of that User's use of the Website, then you
will pursue such right, claim or action independently of, and without recourse
to us.

Personal Information & Résumé databases
You acknowledge and agree that you are solely responsible
for the form, content and accuracy of any personal information including resume
or CV or material contained therein posted by you on the website.
1.2.1
You agree to provide personal information which is your
own and in all respects true and is not, in any respect, misleading, deceptive,
inaccurate or likely to mislead or deceive. We reserve the right to remove any
information, which we deem to be misleading, deceptive, inaccurate or of an
unacceptable standard.
1.2.2
You agree to make your resume(s) inactive by clicking the
appropriate box on the Create/edit resume screen when you are unavailable for
employment.
1.2.3
By submitting content to the Website, including a job
advertisement, resume or any other content such as Ask the Expert you permit any
user of the Website to view, store and reproduce such content for personal use.
By submitting content to the Website, including a job
advertisement, resume or any other content, you also grant us and our affiliates
the royalty free, perpetual, irrevocable, sublicenseable, non-exclusive, full
right to use, reproduce, modify, publish, translate, transmit, communicate,
display or create any derivative works from such content.
You should note that we reserve the right to make
inactive or delete at any time and without prior notice any registration or
resume personal information.
2.
Indemnity
You agree to be fully responsible for (and fully
indemnify us against) all claims, liability, damages, losses, costs and
expenses, including legal fees, suffered by us and arising out of any breach of
the Conditions by you or any other liabilities arising out of your use of the
Website, or the use by any other person accessing the Website using your
internet account.
3.
Our rights
3.1
We reserve the right to:
3.1.1
modify or withdraw, temporarily or permanently, the
Website (or any part thereof) with or without notice to you and you confirm that
we shall not be liable to you or any third party for any modification to or
withdrawal of the Website; and/or
3.1.2
change these Conditions from time to time, and your
continued use of the Website (or any part thereof) following such change shall
be deemed to be your acceptance of such change. It is your responsibility to
check regularly to determine whether the Conditions have been changed. If you do
not agree to any change to the Conditions then you must immediately stop using
the Website.
3.1.3
make inactive or delete at any time and without prior
notice any personal & resume information from the WFJGN. In these instances
we shall endeavour but are not obliged, to contact you in advance.
3.1.4
Expel users and prevent their further access to the WFJGN
for violating the Terms and Conditions of the site or the law.
3.1.5
remove notices, résumés, advertisements and other
communications which are abusive, illegal or disruptive.
3.1.6
Suspend any user account if we get substantiated
complaints from our clients that they are receiving indiscriminate applications
from such accounts.
3.2
We will use our reasonable endeavours to maintain the
WFJGN. The WFJGN is subject to change from time to time. You will not be
eligible for any compensation because you cannot use any part of the WFJGN or
because of a failure, suspension or withdrawal of all or part of the WFJGN due
to circumstances beyond our control.
4.
Third party links
In an attempt to provide increased value to our Users, we
may provide links to other websites or resources. You acknowledge and agree that
we are not responsible for the availability of such external sites or resources,
and do not endorse and are not responsible or liable, directly or indirectly,
for the privacy practices or the content (including defamatory content) of such
websites, including (without limitation) any advertising, products or other
materials or services on or available from such websites or resources, nor for
any damage, loss or offence caused or alleged to be caused by, or in connection
with, the use of or reliance on any such content, goods or services available on
such external sites or resources.
5.
Monitoring
We have the right, but not the obligation, to monitor any
activity and content associated with the WFJGN. We may investigate any reported
violation of these Conditions or complaints and take any action that we deem
appropriate (which may include, but is not limited to, issuing warnings,
suspending, terminating or attaching conditions to your access and/or removing
any materials on the Website).

User information
6.1
We respect your personal information and undertake to
comply with applicable local Data Protection legislation from time to time in
place. When you register with the WFJGN, you will be asked to provide us with
certain personal information. We do not disclose information about your
individual visits to the Website or personal information that you provide, such
as your name, address, email address, telephone number etc. to any outside or
third parties, without your permission except when we believe the law requires
it. However, in addition to the terms and conditions that may be contained in
any privacy policy on the website, you understand and agree that we may disclose
to our partners and third parties, on an anonymous basis, certain aggregate
information contained in your personal information.
6.2
We reserve the right to offer third party services and
products to you based on the preferences that you identify in your registration
and at any time thereafter; such offers may be made by the us or, via us, by our
Partners or Third Parties. You should be aware that:

if we are requested by any regulatory or government
authority investigating suspected illegal activities, or upon receipt of a court
order, to provide your Personal Information and/or information concerning your
activities whilst using the Website we shall do so; and

company is unable to verify or authenticate any information you submit to the

Severance
